License

This Software License Agreement ("Agreement") is a legally binding agreement between you ("Licensee") and EnergiAcres ("Licensor") regarding your use of the software, applications, and related services ("Software") provided by EnergiAcres. By accessing or using the Software, you agree to be bound by this Agreement. If you do not agree to the terms of this Agreement, do not use the Software.

1. Grant of License

1.1 License Grant: Subject to the terms and conditions of this Agreement, EnergiAcres grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software for your internal business or personal purposes.

1.2 License Restrictions: You shall not:

  • Modify, distribute, or create derivative works based on the Software.

  • Reverse engineer, decompile, or disassemble the Software, except as permitted by law.

  • Transfer, sublicense, lease, or rent the Software to any third party.

  • Use the Software in any way that violates any applicable laws or regulations.

2. Intellectual Property Rights

2.1 Ownership: EnergiAcres retains all rights, title, and interest in and to the Software, including any and all intellectual property rights. No rights are granted to you other than as expressly set forth in this Agreement.

2.2 Trademarks: All trademarks, logos, and service marks displayed in the Software are the property of EnergiAcres or their respective owners. You are not permitted to use these marks without the prior written consent of EnergiAcres.

3. Updates and Upgrades

3.1 Modifications: EnergiAcres may provide updates, patches, and other modifications to the Software at its sole discretion. Such modifications may be automatically installed without providing any additional notice or receiving any additional consent from you.

4. Privacy and Data Usage

4.1 Data Collection: By using the Software, you agree to the collection and use of data in accordance with our Privacy Policy. EnergiAcres may collect information about your usage of the Software for analytics, troubleshooting, and improvement purposes.

5. Termination

5.1 Termination by EnergiAcres: EnergiAcres may terminate this Agreement if you fail to comply with any of its terms. Upon termination, you must immediately cease using the Software and delete all copies of the Software in your possession.

5.2 Termination by Licensee: You may terminate this Agreement at any time by discontinuing use of the Software and deleting all copies.

6. Warranty Disclaimer

6.1 Disclaimer: The Software is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. EnergiAcres does not warrant that the Software will be error-free or uninterrupted.

7. Limitation of Liability

7.1 Limitation: To the maximum extent permitted by applicable law, EnergiAcres shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of your use or inability to use the Software.

8. Governing Law and Dispute Resolution

8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

8.2 Dispute Resolution: Any disputes arising under or in connection with this Agreement shall be resolved through binding arbitration in Tampa, FL, in accordance with the rules of the American Arbitration Association.

9. General Provisions

9.1 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

9.2 Entire Agreement: This Agreement constitutes the entire agreement between you and EnergiAcres regarding the use of the Software and supersedes any prior or contemporaneous understandings.

9.3 Amendments: EnergiAcres may amend this Agreement from time to time. Any changes will be posted on our website and, if applicable, through the Software. Your continued use of the Software will constitute acceptance of any such changes.
